Delep Goswami, FCS, Advocate is a Law Graduate from Delhi University and also a Post-Graduate in Commerce (M.Com) from Delhi University. He qualified the Company Secretaries Examination in 1973 conducted by the Institute of Company Secretaries of India (“ICSI”) of which he is a senior Fellow Member (FCS) of ICSI.
After working for nearly 14 years in the Indian corporate sector as a Company Secretary and Deputy General Manager (Legal)-cum-Company Secretary, in the year 1986 he enrolled himself as an Advocate with the Bar Council of Delhi and has over 35 years of experience in handling company law litigation in all Indian Courts including the Supreme Court of India, Delhi High Court, erstwhile Company Law Board; MRTP Commission; FERA Appellate Board; Board for Industrial and Financial Reconstruction (“BIFR”) and its Appellate Authority (“AAIFR”); in the District Civil and Sessions Court, Delhi.
His vast and overwhelming experience and expertise includes advising Directors and key management of some of the most reputed Indian companies in their Indian and overseas business transactions and disputes.
One of the most trusted advisors for insolvency law and winding-up matters as he has been representing the State High Court Official Liquidator of many States before the Supreme Court of India.
He regularly appears before the National Company Law Appellate Tribunal (NCLAT) in New Delhi in company disputes and insolvency matters under the Insolvency & Bankruptcy Code.
He is considered to be a pioneer of Environmental Laws in India and since the last two decades, he spearheaded the 'E-Law Society' which has been in consultation with key functionaries in the Government of India for devising, reforming and enforcing the environmental laws and has been holding regular conferences, talks and seminars for the environmental law sector.

• Corporate Restructuring and Amalgamation/Mergers;

• In the areas of Corporate Criminal Liability cases, averted the arrest of company directors on false allegations of cheating, fraud, manipulation of company records;
• Helped clients retain control over management of companies when hauled up in court for alleged oppression and management;
• Helped client recover a bad debt of INR 72 million (approx.) from the debtor company through court proceedings;
• Helped obtain regulatory sanction for managing directors in respect of excess managerial remuneration payments;
• Helped client save tax to the tune of several crores of rupees, through acquisition of another company by a reverse merger process;
• Helped family run business enterprises avert hostile takeover bids thereby retaining their management control;
• Apart from representing the Corporate Sector clients, he has also been appearing in the Supreme Court of India as a Counsel representing the Official Liquidators attached to the High Courts of Karnataka; Calcutta High Court; Punjab and Haryana High Court; Bombay High Court etc.

• He has formerly, been on the Editorial Board of the Corporate Law Adviser magazine right from its inception and he has authored numerous articles on corporate laws in the Corporate Law Advisor (CLA).
• He also actively served as the Editorial Board Member of the magazine Chartered Secretary, the official publication of ICSI.
• He has written numerous on Directors’ Liability; changes in the Company Law Litigation Systems; Environmental Protection Laws and the Role of Professionals etc.

Anirrud Goswami, Advocate
Anirrud Goswami, BA (Hons) Eng, LL.B, enrolled at the Bar in the 2007 after graduating in English honours from Sri Venkateswara College, New Delhi and obtaining his law degree from the Faculty of Law, University of Delhi. He gained experience working on criminal law matters with Rajinder Singh (founder of Lex Jurists) in Patiala House Courts where he handled criminal law matters. He moved over to corporate law and transactions during his days as Senior Associate with Dua Associates New Delhi, he primarily advised on drafting agreements, analysing and advising on company transactions with a focus on Foreign Direct Investment (FDI) laws, SEBI, RBI and other regulatory matters apart from advising on general corporate matters.
As part of practise in the chambers of Delep Goswami, Advocate, Anirrud developed experience in handling litigation before various fora including the Supreme Court of India, High Courts, Company Law Board, District Courts, etc. apart from being a regular writer in important corporate journals and magazines.
